- 투자자가 정해진 가격으로 회사에 다시 팔 권리가 있는 특수한 주식이며 채권과 비슷하지만 이자를 주지 않으며 의결권 없는 것이 대다수
- 상환 가능한 주식에는 회사가 상환 시 주주에게 지불하기로 동의한 주당 가격인 콜 가격이 설정되어 있다.
- 콜 가격은 주식 발행 초기에 설정되며 주주는 상환으로 주식을 매도할 의무가 있다.
- 최초는 1751년에 영국은 첫 번째 상환주인 콘솔(Consol)으로 정치인 헨리 펠햄 (Henry Pelham, 1694 ~ 1754)경이 정부 부채에 대한 이자율을 낮추기 위해 상환 가능한 정부 주식의 모든 미결제 발행을 하나의 채권인 통합 3.5% 연금으로 전환 발행한 것
